This Store Agreement governs your relationship with Tringify as a merchant operating a store on our platform. It covers your responsibilities, payment processing, data handling, and the terms under which your store operates.
1. Agreement Overview
This Store Agreement ("Agreement") is a binding contract between you (the "Merchant") and Tringify Inc. ("Tringify") that governs your use of the Tringify platform to operate an online store.
By creating a store on Tringify, you acknowledge that you have read, understood, and agree to be bound by this Agreement, as well as our Terms of Service, Terms of Usage, and Privacy Policy.
2. Merchant Obligations
As a Merchant, you are solely responsible for your store's operations, including product sourcing, fulfillment, customer service, returns, and compliance with all applicable laws and regulations in the jurisdictions where you sell.
You must maintain accurate and up-to-date business information in your Tringify account, including your legal business name, address, tax identification numbers, and contact details.
You must clearly display your store's refund policy, shipping policy, and contact information to your customers. Failure to do so may result in account review or suspension.
3. Payment Processing
Tringify Payments processes transactions on behalf of Merchants. By using Tringify Payments, you agree to the Tringify Payments Terms of Service, which are incorporated by reference into this Agreement.
Transaction fees, processing fees, and payout schedules are determined by your subscription plan. Current rates are available at tringify.com/pricing. Tringify reserves the right to adjust fees with 30 days' prior notice.
Payouts are deposited to your designated bank account according to your plan's payout schedule. Tringify may hold or delay payouts if there are concerns about fraud, excessive chargebacks, or violations of this Agreement.
If you use a third-party payment provider instead of Tringify Payments, an additional transaction fee may apply as outlined in your plan details.
4. Taxes & Compliance
You are solely responsible for determining, collecting, reporting, and remitting all applicable taxes related to your sales. Tringify provides tax calculation tools as a convenience, but does not guarantee their accuracy for your specific situation.
You must comply with all consumer protection laws, including accurate product labeling, honest advertising, and honoring your stated return policies.
For international sales, you are responsible for understanding and complying with import/export regulations, customs requirements, and local consumer protection laws in each market you serve.
5. Intellectual Property
You represent and warrant that all products, images, descriptions, and other content in your store are owned by you or that you have obtained all necessary licenses and permissions to use them commercially.
If Tringify receives a valid intellectual property complaint about your store, we may remove the infringing content and notify you. Repeated violations will result in account termination.
Tringify's name, logo, and branding are trademarks of Tringify Inc. You may use "Powered by Tringify" badges as provided, but may not otherwise use our trademarks without written permission.
6. Data & Customer Information
Customer data collected through your store is shared between you and Tringify. You are a data controller for your customers' information and must maintain your own privacy policy that complies with applicable data protection laws.
You may not sell, lease, or share your customers' personal information with third parties for purposes unrelated to fulfilling orders or operating your store, unless you have obtained explicit consent from the customer.
Upon termination of your account, you may export your customer data within 30 days. After this period, Tringify will delete customer data in accordance with our data retention policies, except as required by law.
7. Chargebacks & Disputes
You are responsible for managing customer disputes and chargebacks. Tringify will assist by providing transaction records and communication logs when available.
Excessive chargebacks (exceeding 1% of transactions in any rolling 30-day period) may result in a reserve hold on your payouts, increased processing fees, or account suspension.
Tringify provides a chargeback protection program for eligible merchants. Details and enrollment are available in your dashboard under Settings > Payments.
8. Store Availability & SLA
Tringify strives to maintain 99.99% uptime for all storefronts. Our Service Level Agreement (SLA) details, including credit policies for downtime, are available at tringify.com/sla.
Scheduled maintenance windows will be communicated at least 48 hours in advance. Emergency maintenance may occur without prior notice but will be communicated as soon as possible.
Tringify is not liable for downtime caused by third-party services, your custom code, or force majeure events.
9. Termination
You may close your store and terminate this Agreement at any time through your dashboard. Upon closure, your storefront will be taken offline and you will retain access to your admin panel for 30 days to export data.
Tringify may terminate this Agreement immediately if you materially breach these terms, engage in fraudulent activity, or accumulate excessive chargebacks. We will provide written notice of termination and the reason.
Outstanding fees, transaction charges, and any amounts owed to Tringify remain payable upon termination. Tringify may deduct outstanding amounts from your final payout.
10. Limitation of Liability
Tringify's total liability under this Agreement is limited to the fees you paid to Tringify in the 12 months preceding the claim. Tringify is not liable for any lost profits, lost sales, or indirect damages arising from your use of the platform.
Tringify is not liable for the actions of your customers, suppliers, shipping carriers, or any third-party services you integrate with your store.
11. Governing Law & Disputes
This Agreement is governed by the laws of the jurisdiction in which Tringify Inc. is incorporated. Any disputes arising under this Agreement will be resolved through binding arbitration, except where prohibited by local law.
Before initiating arbitration, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days.
